SKLOUD SKOUT – End User License Agreement (EULA)

1. Introduction
Welcome to SKLOUD SKOUT — the mobile app built for sourcing and procurement professionals. This End User License Agreement (“Agreement”) is a legal contract between you (“User,” “you,” or “your”) and SKLOUD S.A.P.I. de C.V. (“SKLOUD,” “we,” “our,” or “us”) governing your use of the SKLOUD SKOUT mobile application (“Platform”).
By downloading, accessing, or using the app, you agree to be bound by this Agreement. If you don’t accept these terms, please do not use the Platform.

2. Definitions

User: Anyone using the SKLOUD SKOUT mobile app.

Platform: The SKLOUD SKOUT mobile application.

Subscription: A paid plan granting access to premium features.

Content: All text, photos, documents, or other material uploaded or created by users.

Third-Party Services: External tools like Firebase or AWS used to host and run the app.
3. Eligibility
To use the app, you must:

Be at least 16 years old

Use the app for lawful, procurement-related business activities
-
Provide accurate and complete information when registering

4. License to Use the App
We grant you a limited, non-exclusive, non-transferable license to install and use SKLOUD SKOUT for business purposes in accordance with this Agreement. You may not modify, reverse-engineer, or attempt to extract the source code.
All rights not explicitly granted are reserved by SKLOUD.

5. Subscription Plans & Billing
SKLOUD SKOUT offers three user plans:

• Skout Explorer (Free)

Up to 5 events

2 categories per event

30 quotations and 30 suppliers

Collaborate with up to 5 Skouts
• Skout Pathfinder – $4.99 USD/month

Unlimited events and categories
-
50 quotations/suppliers per month

Collaborate with up to 10 Skouts
• Skout Master – $8.99 USD/month

Unlimited everything
-
Priority feature access (e.g., Smart Business Card Reader)
Billing & Auto-Renewal:
-
Payments are handled securely via Apple App Store or Google Play.

Subscriptions auto-renew unless canceled at least 24 hours before renewal.

You can cancel anytime via your device’s subscription settings.

6. Acceptable Use
By using the Platform, you agree not to:

Engage in unlawful, misleading, or fraudulent activity

Upload content that infringes on third-party intellectual property

Impersonate another individual or business
-
Use bots, scraping tools, or other unauthorized automation
-
Interfere with the integrity or performance of the app
Violations may lead to immediate suspension or termination of your account.

7. Intellectual Property

You retain ownership of content you upload (e.g., product images, business cards).

SKLOUD retains ownership of the app’s code, UI, analytics, and platform-generated data.

By using the Platform, you grant SKLOUD a limited license to process your content solely to provide app functionality.

8. Limitation of Liability
SKLOUD is not liable for:

Service outages caused by third-party providers

Data loss due to user action or device issues
-
Disputes between buyers and suppliers using the app
Use of the Platform is at your own risk. The app is provided “as is,” without warranty of any kind.

9. Suspension & Termination
We may suspend or terminate your account without notice if:

You violate this Agreement
-
Fraudulent billing or payment disputes arise
-
You use the Platform in a way that harms SKLOUD or others
​
10. International Use & Jurisdiction
SKLOUD SKOUT is available globally. However, this Agreement is governed by the laws of Mexico, and all disputes must be resolved through binding arbitration in Mexico City, regardless of your location.

11. Updates to These Terms
We may update this EULA from time to time. If we do, you’ll be notified in-app or by email. Continued use of the Platform confirms your acceptance of any changes.
